These Terms of Use ("Terms") govern your access to and use of the Scrip Manager software platform and website operated by Scrip Manager, located in Naperville, Illinois. By accessing or using our services, you agree to be bound by these Terms.

1. Service Description

Scrip Manager is a cloud-based software platform that helps schools, churches, and nonprofit organizations manage gift card fundraising programs. The service includes order management, inventory tracking, payment processing, credit tracking, reporting, and related features.

2. Account Registration

To use Scrip Manager, an authorized representative of your organization must complete the signup process. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Each organization receives a unique subdomain (e.g., yourschool.scriporder.com) and a separate database for its data.

3. Free Trial

Scrip Manager offers a free 30-day trial period. No payment information is required to start the trial. At the end of the trial, you may choose to subscribe to a paid plan. If you do not subscribe, your access will be suspended and your data will be retained for a reasonable period to allow you to reactivate, after which it may be deleted.

4. Subscription and Billing

Paid subscriptions are billed monthly or annually, depending on the plan you choose. All fees are stated in U.S. dollars. You agree to pay all fees associated with your subscription in a timely manner. We reserve the right to change our pricing with 30 days' notice to active subscribers.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. There are no cancellation fees.

5. Acceptable Use

You agree to use Scrip Manager only for its intended purpose of managing scrip and gift card fundraising programs. You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the service, other accounts, or our systems
  • Interfere with or disrupt the service or servers connected to the service
  • Reverse engineer, decompile, or disassemble any part of the software
  • Share your account credentials with unauthorized individuals
  • Use the service to transmit spam, malware, or other harmful content

6. Your Data

You retain ownership of all data you and your users enter into Scrip Manager. We do not claim any ownership rights over your content or data. You may export your data at any time using the built-in backup feature.

You are responsible for the accuracy and legality of the data you enter and for ensuring you have appropriate consent from your organization's members to store their information in the system.

We handle your data in accordance with our Privacy Policy.

7. Payment Processing

Scrip Manager integrates with third-party payment processors to enable online payments (credit/debit card and ACH) within your fundraising program. These transactions are processed by PCI-compliant payment providers. Scrip Manager does not store credit card numbers or bank account details. You agree to comply with the terms and conditions of the applicable payment processor.

Scrip Manager is not responsible for payment processing errors, disputes, or chargebacks that occur through third-party payment providers.

8. Service Availability

We strive to maintain high availability of the Scrip Manager platform. However, we do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you in advance of scheduled maintenance.

9. Data Backups

We perform automated daily backups of all customer data. Additionally, you can download a copy of your data at any time through the application. While we take reasonable precautions to protect your data, you are encouraged to maintain your own backups.

10. Intellectual Property

The Scrip Manager software, website, design, logos, and all related intellectual property are owned by Scrip Manager and are protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for your organization's fundraising activities during the term of your subscription.

11. Limitation of Liability

To the maximum extent permitted by law, Scrip Manager and its owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the service.

Our total liability for any claim arising from or related to the service shall not exceed the amount you paid for the service during the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

Scrip Manager is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will meet all of your requirements or that it will be error-free.

13. Indemnification

You agree to indemnify and hold harmless Scrip Manager and its owner from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You may cancel your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or fail to pay applicable fees after reasonable notice. Upon termination, your right to access the service ceases. We will retain your data for a reasonable period to allow for reactivation or data export, after which it may be permanently deleted.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify active subscribers by email at least 30 days before the changes take effect. Your continued use of the service after changes become effective constitutes your acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any disputes arising from these Terms or the use of the service shall be resolved in the state or federal courts located in DuPage County, Illinois.
